These bylaws provide a framework for the governance and operation of your organization, outlining its purpose, membership, governance structure, meetings, committees, finances, and procedures for amendment and dissolution.
Article I: Name and Purpose
Section 1. Name: The name of this organization shall be Assembly of Scientists and Experts of Afghanistan.
Section 2. Purpose: The purpose of Assembly of Scientists and Experts of Afghanistan shall be to foster education, research, community engagement, and the empowerment of Afghan women and youth. The organization shall strive to contribute to the socio-economic and political development of Afghanistan by promoting excellence in education, conducting innovative research, and engaging with communities.
Article II: Membership
Section 1. Eligibility: Membership in Assembly of Scientists and Experts of Afghanistan shall be open to individuals who support the mission and goals of the organization.
Section 2. Rights and Responsibilities: Members shall have the right to participate in the activities of the organization, including voting in elections and attending meetings. Members shall uphold the values and objectives of the organization and abide by its bylaws.
Section 3. Admission: Individuals seeking membership shall submit an application to the Membership Committee. Membership shall be granted upon approval by the Membership Committee.
Article III: Governance
Section 1. Board of Directors: Assembly of Scientists and Experts of Afghanistan shall be governed by a Board of Directors consisting of 5 (RECHECK) members. The Board shall be responsible for overseeing the affairs of the organization, setting strategic goals, and ensuring compliance with the organization’s mission and bylaws.
Section 2. Officers: The officers of Assembly of Scientists and Experts of Afghanistan shall include a President, Vice President, Secretary, and Treasurer. Officers shall be elected by the members of the organization and shall serve a term of 10 (RECHECK) years.
Article IV: Meetings
Section 1. General Meetings: General meetings of Assembly of Scientists and Experts of Afghanistan shall be held [frequency](RECHECK), at a time and place determined by the Board of Directors. All members shall be notified of the meeting at least 14 (RECHECK) days in advance.
Section 2. Quorum: A quorum for general meetings shall consist of 50 (RECHECK) of the total membership. Decisions shall be made by a simple majority vote of members present.
Article V: Committees
Section 1. Establishment: The Board of Directors may establish committees as necessary to carry out the work of Assembly of Scientists and Experts of Afghanistan. Committees may include, but are not limited to, Membership Committee, Education Committee, Research Committee, and Community Engagement Committee.
Section 2. Composition: Committees shall be composed of members appointed by the Board of Directors. Committee members shall serve for a term determined by the Board.
Article VI: Finances
Section 1. Fiscal Year: The fiscal year of Assembly of Scientists and Experts of Afghanistan shall begin on 1.01.2024 (RECHECK) and end on 31.12.2024 (RECHECK).
Section 2. Budget: The Board of Directors shall prepare an annual budget outlining the anticipated income and expenses of the organization. The budget shall be approved by a majority vote of the Board.
Section 3. Financial Reports: The Treasurer shall provide regular financial reports to the Board of Directors and members of the organization.
Article VII: Amendment of Bylaws
Section 1. Amendment: These bylaws may be amended by a two-thirds majority vote of the members present at a general meeting, provided that notice of the proposed amendment has been given to all members at least 14 (RECHECK) days in advance.
Article VIII: Dissolution
Section 1. Dissolution: In the event of the dissolution of Assembly of Scientists and Experts of Afghanistan, any assets remaining after the payment of debts shall be distributed to one or more organizations with similar charitable purposes, as determined by the Board of Directors.
